1. Scope of validity

These General Terms and Conditions ("GTC") apply to all business activities of hiroto design, owner ballinari (hereinafter referred to as the "Company").

2. Conclusion of a contract

A contract is concluded when the customer accepts the Company's offer for the purchase of products. A contract is concluded in all cases when the customer orders the products offered by the Company via the Company's online shop or purchases them directly.

3. Prices

Subject to offers quoted in a local currency, all prices are understood to be in Swiss Francs (CHF). All prices are understood to be exclusive of any applicable value added tax (VAT) as well as exclusive of any other applicable taxes and exclusive of packaging and shipping costs.

The Company reserves the right to change the prices at any time. The prices valid on the Company's website at the time of the conclusion of the contract shall apply.

4. Payment

The Company provides the customer with the following payment options: credit card, PayPal, Apple Pay.

The Company offers its products via an online platform for purchase, rental or other use and requires payment by electronic means during the ordering process (credit card, PayPal). It is not permitted to offset the invoiced amountagainst any claim the customer may have against the Company. The Company has the right to refuse delivery or provision of services in case of late payment.

5. Obligations of the Company

5.1. Delivery / delivery dates

The delivery will be made within the period stated during the ordering process. If a delivery within the deadline is not possible, the Company will inform the customer and the new delivery date will be communicated.

Unless otherwise agreed, the place of performance shall be the registered office of the Company. The Company performs its obligation by transferring the ordered products to the agreed shipping agent. If no shipping agent is agreed upon, the Company may choose a shipping agent. The agreed delivery costs cannot increase through the choice of the shipping agent. If multiple products are ordered, it is possible that not all of them will be sent in the same consignment.

5.2. Auxiliary persons

The parties have the express right to engage auxiliary persons to perform their contractual obligations. They must ensure that the involvement of auxiliary persons is carried out in compliance with all compulsory legal provisions and any collective labour agreements.

An exchange of products is not permitted.

7. Warranty

The statutory warranty provisions shall apply for a maximum period of 24 (twenty-four) months.

Any defect must be reported to the Company immediately. The Company has the right to decide whether the defective product is to be repaired or replaced. The customer shall only be entitled to a reduction or refund of the purchase price if a replacement or repair is not possible. In case of third-party repairs, a claim for reimbursement of costs is not possible. The customer has no claim to a replacement product during the period of repair. The warranty period starts anew for the repaired element whereas the remaining elements of the product continue to be covered by the original warranty period.

8. Liability

Liability for all indirect damage and consequential damage is excluded in full. The liability for direct damages is limited to the sales price of the product. This limitation of liability does not apply to direct damages caused by gross negligence or wilful intent. The customer is obliged to immediately report any damages to the Company.

All liability for auxiliary persons is completely excluded.

9. Intellectual property rights

The Company holds all rights to the products, services and any trademarks or is authorised to use them by the owner. Unless expressly stated, neither these GTC nor any associated individual agreements constitute a transfer of intellectual property rights. In addition, unless expressly authorised by the Company, any subsequent use, publication or making available of information, images, texts, or other material obtained by the customer in connection with these provisions is prohibited.

If, in connection with the Company, the customer uses content, texts, or pictorial material for which third parties possess an intellectual property right, the customer must ensure that no intellectual property rights of third parties are infringed.

10. Privacy

The Company may process and use the data collected within the scope of the conclusion of the contract to fulfil its obligations under the contract. The Company will carry out the measures required to secure the data in accordance with the statutory provisions. The customer consents in full to the storage and contractual use of his data by the Company. The customer is aware that by order of courts or authorities, the Company is obliged and permitted to disclose customer information to these or other third parties. Unless the customer has expressly prohibited it, the Company may use the data for marketing purposes. The data necessary for the performance of services may also be transmitted to commissioned service partners or other third parties.

Furthermore, the privacy provisions shall apply.

11. Amendments

The Company may amend these GTC at any time.

The new version will come into force 30 (thirty) days after it is posted on the website (www.hirotodesign.com) by the Company. The version of the GTC in force at the time of the conclusion of the contract will be applicable for customers. The only exception is if the customer has agreed to a newer version of the GTC.

12. Priority

These GTC take precedence over all older provisions and contracts. Only provisions from individual contracts which stipulate the provisions of these GTC shall take precedence over these GTC.

13. Severability clause

Should a provision of this contract or a supplement to this contract be or become invalid, the validity of the contract as a whole shall not be affected. The contracting parties shall replace the invalid provision by a valid provision which comes as close as possible to the intended economic purpose of the invalid provision. The same shall also apply to any contractual omissions.

14. Confidentiality

Both parties, as well as their auxiliary persons, undertake to treat all information submitted or acquired in connection with the services as confidential. This obligation remains in force after the termination of the contract.

15. Force majeure

If timely performance by the Company, its suppliers or third parties commissioned by the Company becomes impossible as a result of force majeure such as natural disasters, earthquakes, volcanic eruptions, avalanches, severe weather, thunderstorms, storms, wars, riots, civil wars, revolutions and uprisings, terrorism, sabotage, strikes, nuclear accidents or reactor damage, the Company shall be released from its obligations for the duration of the force majeure and a reasonable start-up period after its conclusion. If the force majeure lasts longer than 45 (forty-five) days, the Company may withdraw from the contract. The Company shall reimburse the customer in full for any payments already made.

Any further claims, in particular claims for damages due to vis major are excluded.

16. Agents and sales partners

The customer acknowledges that all sales partners or agents are self-employed and therefore work independently of the Company and that any potential claims must be addressed directly to them. The Company shall not be in any way liable for breaches of contract by agents or distributors.

17. Applicable law / place of jurisdiction

These GTC are subject to Swiss law. If no mandatory legal provisions take precedence, the court at the registered office of the Company shall have jurisdiction. The Company is entitled to file a suit at the defendant's domicile. The United Nations Convention on Contracts for the International Sale of Goods (SR 0.221.211.1) is explicitly excluded.
